Personal Guaranty
The guaranty is made on＿＿＿of＿＿＿，＿＿＿＿, by and between＿＿＿＿(hereinafter referred to as the “Guarantor”) who is director of Party A, with its principal business at＿＿＿＿, and Party B with its principal place of business at＿＿＿＿＿＿.
Ⅰ.For a valuable consideration and in order to induce Party B to enter into continuing business relationship with Party A, the Guarantor hereby irrevocably and unconditionally guarantees the faithful performance of the agreement(s), including but not limited to purchase agreements for goods by Party A, together with fees, commissions and interest thereon without limitation for any period of time. The faithful performance of the agreement(s) includes, but is not limited to, the following:
● Delivery of payment checks upon the receipt of goods;
● Accepting the D/A documents submitted by the Bank;
● Payment upon maturity date for D/A payment term;
● Payment in accordance with the terms and conditions of L/C; and
● Providing sufficient funds to cover payment check issued.
Ⅱ. As implementing the foregoing, it is understood and agreed that the Guarantor guarantees that the obligations will be paid to Party B in accordance with the terms and provisions of any agreement, expressed or implied, which has been or may hereafter be made or entered into by Party A in reference thereto. The obligations of the Guarantor hereunder shall not be discharged except by payment in full of the obligations as herein provided.
Ⅲ. This is a continuing guaranty relating to any obligation, including that arising under successive transactions which shall either continue any obligation or from time to time renew it after it has been satisfied.
Ⅳ. The Guarantor hereby authorizes Party B, provided that a written notice to the guarantor is given, from time to time to renew, extend, accelerate or otherwise change the term for payment of, or otherwise change the terms of the obligations or any part thereof.
V. The Guarantor waives any defense arising by reason of any voluntary insolvency (including receivership or bankruptcy) of Party A, other than the full repayment of the obligations. Until all obligations of Party A to Party B shall have been paid in full, the Guarantor shall have no right of subrogation, and waive any right to enforce any remedy which the Guarantor now has or may hereafter have against Party A, and waive any benefit of, and any right to participate in any security now or hereafter held by Party B.
Ⅵ. This Guaranty shall be governed by and construed according to the laws of the People’s Republic of China to the jurisdiction of which the parties hereto submit.
