THIS MASTER PURCHASE AGREEMENT is between X1and X2
PURPOSE of Agreement. The Agreement sets forth the terms and conditions of any work (as defined in Exhibit A, General Terms and Conditions) undertaken by Seller for X1 and defines the contractual rights obligations and liabilities of the Parties. The Agreement does not establish exclusivity of business dealings between the Parties. It does not require X1 to purchase Work from Seller, nor does it require Seller to furnish Work to X1.
Geographical Scope of Agreement:The provisions the Agreement apply to USA and all countries outside the USA. Country-specific provision that apply to particular countries and that amend existing terms within the Agreement are contained within the applicable executed Affiliate Addendum, as further described in Section 6 below.
Document:The Agreement consists of the following documents:
Master Purchase Agreement
Exhibit A General Terms and Conditions of Purchase
Exhibit B Products and Pricing
Exhibit C Service Order
Exhibit D Affiliate Addendum
Purchase Orders issued against the Agreement

These parts will be read as one document, the contents of which, in the event, and to the extent, of conflict between the parts will be given precedence in the order above, except that Exhibit B,C and D will have precedence over Exhibit A.
Term of Agreement: This Agreement is effective XXX（时间） ("Effective Date") and shall continue in effect for three years thereafter, unless earlier terminated in accordance with the provisions of this Agreement. The term of each Service Order is stated therein.
Purchase Order: Seller will supply Work as from time to time may be order by X1 by means of issuing Purchase Order stating X1's requirements as to Work to be performed. The Purchase Order will specify the type of goods and/or services, details of quantity and quality, price, delivery time, reference the applicable Service Order, if any, and include the Agreement number.
Affiliate: "Affiliate" means any company, corporation or other entity controlled by, in control of or under common control with one of the Paties to the Agreement. For purposes of this definition, "control" means the ownership, legally or beneficially, directly or indirectly, of more than fifty percent(50%) of the voting shares of any company 。

以后下的订单都按这个框架合同来，就不必每次都罗列一大堆了。
