第一条：基本宗旨
1、 甲乙双方本着相互信赖、合作互利的原则，意识到企业的社会责任，在相互尊重对方自主性的同时实施质量管理；

3、甲方的质量验证不能免除乙方提供产品在后续使用中出现质量问题的责任。
第二条：乙方对产品质量保证
1、乙方在向甲方提供产品期间，应依照一个有效的质量保证体系进行管理，并不断提升质量保证管理体系。
2、乙方向甲方交付的产品，不仅要满足双方的明确质量要求，而且要保证满足该产品所有隐含的质量要求（包括法律法规，及行业标准等），并确保其可靠性和安全性；
3、乙方向甲方交付的产品，必须是经过乙方检验合格的产品，为此乙方向甲方承诺：甲方对乙方提供的产品，可予以免检使用，即甲方无需进行验收就可以放心使用，如甲方使用乙方产品在后续应用中出现质量问题，或发现产品质量不合格,其损失与责任均由乙方承担。
4、乙方承诺其所供给甲方的产品，甲方可以免检使用，但并不意味甲方丧失产品验收权利。在产品送达甲方工厂后六个月内，乙方同意甲方根据使用乙方产品情况，随时可提出产品质量问题。
5、由于乙方交付的产品质量或其他任何原因造成甲方在生产过程中受影响，引起甲方停产或甲方客户的质量投诉、质量索赔、交货成本增加时，乙方承诺将承担甲方的损失。具体赔偿金额双方将另行协商决定。
6、甲方向乙方提出的任何产品质量投诉，乙方应立即采取更正行动予以改进并在72 小时内将书面报告反馈给甲方。该报告的定义为首次书面报告。
第三条 质量保证的范围
1、双方以产品供应业务中约定的质量、技术要求、或封存的样品、如无上述文件则以国家标准、行业标准等为乙方质量保证基准。
2、乙方须保证的分批、批量提供的产品的品质一致性和可靠性，供货时附带必要的质保书、测试报告或产品合格证、产品质量说明书等。
3、若乙方进行相关变更，如果变更结果影响质量的话，须按协议书的规定进行评估，并向甲方提交评估数据，必要时提供样品，以取得甲方的认可。
4、乙方的质量保证包括产品的内外包装，须包装标识明晰、表里如一、不易损坏、清洁无污等，并符合产品特性要求。
第四条 其他
1、本协议主要是对乙方所供给甲方的产品质量保证约定，其他交易条款按合同、协议、订单等书面文件为准。
2、乙方违反本协议，应承担违约金并承担甲方的相应损失。具体赔偿金额将由双方协商确定。
3、因本协议产生争议，双方协商解决，协商不成提交北京国际贸易仲裁委员会。
4、如本承诺书中英文内容不一致的情况，以英文内容为准。
5、本协议一式两份，双方签字、盖章后生效，各执一份。
