Assignment:
Neither Party may assign this Agreement or any of its rights, interests or obligations hereunder, in whole or in part, without the prior written consent of the other Party. Any purported assignment in violation of the foregoing will be null and void abinitio and of no force or effect. This Agreement will be binding upon, and will inure to the benefit of, Consultant and XX and their respective heirs, estate, legatees, personal and legal representatives and permitted successors and assigns.

Compliance with Law:
Each Party agrees that it will comply with all applicable laws, regulations, treaties and conventions and, to the extent applicable, the United States Foreign Corrupt Practices Act.

Governing Law:
This Agreement will be governed by and construed in accordance with the laws of the State of New York without regard to its conflict of laws principles. Any dispute between the parties relating to this Agreement will be resolved solely in the state or federal courts located in Manhattan, New York.
